Our M&A practice focuses especially on media, telecom, infrastructure, and energy acquisitions because evaluating risk and optimizing value in a project or company sale requires a deep knowledge of the industry.   

Our attorneys work together seamlessly across practice areas – whether the matter concerns a broadband transaction with detailed subsidy rules, the sale of a repowered wind project with tax credit implications, a merger or acquisition requiring review by the Committee on Foreign Investment in the United States (CFIUS), or many other permutations of complex, regulated transactions.   

WBK is right there with clients at all stages of an acquisition, helping structure the deal and negotiate letters of intent, conducting due diligence and drafting definitive agreements, obtaining regulatory approvals, and handling closings and post-closing matters.  We routinely work closely with bankers, lenders, in-house counsel and (when needed) SEC counsel in connection with various transactions. 

Our industry focus often means that we combine commercial transactional expertise with specialized subject matter expertise, enabling us to identify and address issues and opportunities that are not usually the purview of M&A attorneys.
